Source Code License & Intellectual Property Policy

1. Introduction and Identity

This Policy describes the licensing terms and ownership rights applied by SIA “IDT Media” (trading as Magebit), Reg.No.: 40103659860, regarding software source code delivered to its Clients.

This Policy applies to all source code files, templates, and assets that reference this URL (e.g., via a @license annotation, file header, or inclusion in a package). In the event of a conflict between this Policy and a signed Master Services Agreement (MSA) between Magebit and the Client, the terms of the MSA shall control.

2. Intellectual Property Classification

Ownership is determined automatically by the Namespace, Package Name, or Directory Structure of the source file.

A. Agency Background Technology

Any source code, scripts, styles, or assets are classified as Background Technology if they reside within or are identified by Agency Proprietary Identifiers.

"Agency Proprietary Identifiers" include:

1. Trade Names & Brands: Namespaces, packages, or directories named Magebit, Venta, or any variations thereof (e.g., @magebit/core, com.magebit.app).
2. Proprietary Product Names: Any namespace or directory corresponding to other software products, themes, or libraries owned by Magebit.
3. Vendor Paths: Any code located within vendor/, node_modules/, or lib/ directories that is explicitly scoped to the Agency (e.g., vendor/magebit/, node_modules/@magebit/).

Rights & License:

• Ownership: Magebit retains full, exclusive ownership and copyright of this code.
• License to Client: Magebit grants the Client a perpetual, non-exclusive, royalty-free license to use, modify, and create derivative works of this code solely in connection with the specific project for which it was delivered.
• Restrictions: The Client may not resell, sublicense, publish, or distribute this code as a standalone product, theme, or library without prior written consent.

B. Work Made for Hire

Any file residing in namespaces, packages, or directories not falling under the definition of Agency Background Technology is classified as Work Made for Hire.

Rights & License:

• Ownership: Copyright is assigned to the Client upon full payment of fees.
• License Back (Residual Rights): To facilitate Magebit's ability to provide services to other clients, the Client grants Magebit a perpetual, irrevocable, worldwide, royalty-free license to retain, use, and modify the generic underlying logic, architectural patterns, and code snippets contained within these files.
  
  • Limitation: This license does not extend to the Client’s confidential business data, specific branding, graphical assets, or unique business trade secrets.

3. Third-Party Software

Code located within dependency directories (such as /vendor/, /node_modules/) or code explicitly marked with a third-party license (e.g., MIT, GPL, Apache) is subject to the terms of its respective license. Magebit claims no ownership over third-party open-source libraries.

4. Hierarchy of Documents

In the event of a direct conflict between this Policy and a comprehensive Master Services Agreement (MSA) or Software Development Contract signed between Magebit and the Client, the terms of the signed MSA/Contract shall control.

5. Disclaimer of Warranty

Unless expressly stated in a separate agreement, all code is provided "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
